The Sapien Ripple SPV Fund Series I gives qualified wholesale investors access to Common and/or Preferred Stock in Ripple Labs Inc. — a global leader in blockchain-based cross-border payment technology — via secondary private equity trading platforms. Up to US$50 million of Ripple shares are available at a meaningful discount to the company's January 2025 tender offer price of US$125 per share, with Ripple valued at approximately US$22 billion. The Fund leverages Sapien's established relationships with private equity secondary platforms to aggregate shares from existing accredited holders, reducing execution risk from ROFR requirements and other transfer restrictions. Managed by Sapien Asset Management, led by Victor Jiang — who previously entered Ripple at a US$7 billion valuation in 2020 and exited in 2024 at a US$22 billion valuation.
Property Overview
The Fund is structured as a USD-denominated wholesale unit trust with a minimum 12-month lock-in period, auto-extensible in 12-month increments for up to 3 years. Investment profits are automatically reinvested at maturity unless an investor specifically requests a distribution ahead of the maturity date. Sapien's secondary platform relationships also provide investors with potential early liquidity pathways ahead of any Ripple IPO. A 2% p.a. management fee is charged two years upfront, with a 20% performance fee applied to profits upon liquidation or fund closure.
